Walberg & Cie. x ZOLLHOF: M&A readiness for start-ups and scale-ups

Munich/Nuremberg, January 30, 2026 – The Munich-based corporate M&A tax boutique Walberg Law Tax Strategy GmbH & Cie. KG (“Walberg & Cie.”) supports the Nuremberg Tech Hub ZOLLHOF as a start-up supporter in the area of M&A and tax. The collaboration focuses on preparing founders, start-ups, and scale-ups for professional M&A activities, in particular exits and partial exits - from tax-efficient structuring and transaction preparation to the implementation of M&A and exit processes.
Founders at ZOLLHOF get direct access to M&A and tax expertise with a clear focus on exits, partial sales, and succession solutions. Together with Walberg & Cie., structures are set up early on so that they are transaction-ready, minimize tax risks, and have potential for value appreciation in the exit. Walberg & Cie. focuses in particular on exit readiness, process design, the drafting and negotiation of share purchase agreements, and support for M&A and sales processes through to signing and closing. ZOLLHOF thus complements its support portfolio with a practical M&A and tax partner for the critical phase before and during exit processes.
Dr. Simon Sabel, Managing Partner and M&A lawyer at Walberg & Cie.:
"We are seeing more and more M&A activity among start-ups and scale-ups – classic exits, but also partial exits with rollovers or joint ventures, as well as inorganic growth through M&A, are becoming the new normal for start-ups and scale-ups. Together with ZOLLHOF, we help founders prepare their companies so that due diligence processes, contract negotiations, and tax structuring run smoothly. We are particularly pleased that we were able to accompany YAXI, the first ZOLLHOF start-up, in a successful partial exit in partnership with REINER."
Dr. Sebastian Binder, Managing Partner and Tax Advisor at Walberg & Cie.:
“Whether an exit is successful in the long term depends largely on the tax structure. Our goal is to provide founders with transaction models that are tax-efficient, avoid structural errors later on, and at the same time leave room for further growth or reinvestment.”
Johanna Wille, Senior Partner Manager at ZOLLHOF:
“With Walberg & Cie., our start-ups gain a partner that takes a holistic approach to M&A processes – legally, fiscally, and strategically. This helps our teams scale their ideas faster and more sustainably.”
