Walberg & Cie. advises TRANSpofix on acquisition of Trimco

Warsaw, Berching, July 30, 2025 – TRANSpofix GmbH (“TRANSpofix”) has acquired the Polish company Trimco sp. z.o.o. (“Trimco”) as part of a cross-border transaction, thereby laying the foundation for the acquisition of extensive commercial properties in Poland. The transaction volume is in the double-digit million range.
TRANSpofix is considered one of the innovation leaders for customized transport systems and production solutions, particularly in the automotive and aviation industries. The owner-managed company, based in Berching in the Altmühltal region of Bavaria, has been on the market since 1987 and currently employs around 60 people. Under the management of Michael Bayerl, who has been shaping the company since 2021, TRANSpofix consistently focuses on innovation, quality, and continuous investment in modern production technologies. Mr. Bayerl is also actively involved in the further development of the company in regional initiatives, thereby promoting Bavaria as a business location as a whole.
With this acquisition, TRANSpofix aims to fully integrate Trimco into its own value chain, secure its long-term position in Poland, and promote the company's overall expansion, including internationally. The previous owners of Trimco are selling the company as part of an external succession solution. Trimco will function as a central production and logistics unit within the TRANSpofix Group, thereby strengthening the company's production capacities and sustainable development. The transaction underscores the economic interdependence of European industry and cross-border cooperation.
The Walberg team, consisting of Dr. Simon Sabel (lead), Marc Wiesner, LL.M. (Yale), and Dr. Sebastian Binder, provided TRANSpofix with comprehensive corporate and tax law advice on the transaction. Local Polish counsel was SSW Spaczyński, Szczepaniak, Wickel, Goździowska sp.k. from Warsaw. Walberg & Cie. was able to develop a tailor-made and tax-optimized acquisition structure across borders in this cross-border constellation together with its Polish colleagues and also ensure stable legal handling of the cross-border transaction.
